Microsoft Bookings Terms of Use and Condition

Introduction

Welcome to Jadex Strategic Group, a technology firm that helps businesses achieve their strategic goals. We offer a range of services, such as market research, business analysis, strategy formulation, cybersecurity implementation, technology management, and compliance support.

This Terms and Conditions Agreement (“Agreement”) governs your use of our Microsoft Bookings service (“Service”), which allows you to schedule and manage appointments with our consultants online. By using the Service, you agree to be bound by this Agreement and our Privacy Policy, which is incorporated by reference.

This Agreement applies to both registered and unregistered users of the Service. To use the Service, you may need to create an account and provide some personal information, such as your name, email address, phone number, and preferred time zone.

Acceptance of Terms

By using the Microsoft Bookings service (“Service”), you agree to be bound by this Terms and Conditions Agreement (“Agreement”) and the Privacy Policy of Jadex Strategic Group (“we”, “us”, or “our”), which is incorporated by reference. This Agreement applies to you as an external guest who may book meetings with our consultants online.

The Service is also provided by Microsoft Corporation and its affiliates (“Microsoft”) and is subject to the Microsoft Services Agreement and the Microsoft Privacy Statement, which are also incorporated by reference. You agree to comply with these terms and policies when using the Service.

We reserve the right to modify this Agreement at any time, with or without notice, by posting the updated version on our website. Your continued use of the Service after any such changes constitutes your acceptance of the new Agreement. If you do not agree to this Agreement or any changes to it, you may not use the Service.

User Account and Data

To use the Microsoft Bookings service (“Service”), you may need to create an account and provide some personal information, such as your name, email address, phone number, and preferred time zone. You are responsible for maintaining the security and accuracy of your account and information. You may not share your account with anyone else or use someone else’s account without their permission.

We collect and use your personal information in accordance with our Privacy Policy, which is incorporated by reference. We use your information to provide and improve the Service, to communicate with you, to process your payments, and to comply with our legal obligations. We do not sell or rent your information to third parties, unless you consent, or we are required by law.

You have the right to access, update, delete, or export your information at any time, subject to our retention policies and legal obligations. You can manage your information and preferences through your account settings, or by contacting us at contact@jadexstrategic.com.

Booking Page and Online Meetings

The Microsoft Bookings service (“Service”) allows you to book and manage appointments with our consultants online. You can access the Service through our booking page, which is a web page that displays our availability, services, and contact information.

To book an appointment, you need to select a service, a date and time slot, and provide some details, such as your name, email address, phone number, and any notes or questions you may have. You will receive a confirmation email with a calendar invite and a link to join the online meeting.

The online meeting is a video or audio call that you can join via Skype or Teams, depending on the service you selected. You will need a device with a camera, microphone, and speakers, and a stable internet connection. You can also use the chat feature to send messages and files during the meeting.

You can cancel or reschedule your appointment at any time, up to 24 hours before the scheduled time, by following the instructions in the confirmation email. If you need to cancel or reschedule within 24 hours, please contact us at contact@jadexstrategic.com.

By using the Service, you agree to follow our Code of Conduct, respect our consultants’ time and expertise, and provide honest and constructive feedback.

Service Availability and Support

Microsoft Bookings is a Microsoft 365 app that makes scheduling and managing appointments easy. You can use Bookings to book a meeting with us and choose the time, service, and staff member that works best for you. You will receive a confirmation email with the details of your booking and a link to join the meeting online via Teams or Skype. You can also reschedule or cancel your booking at any time.

Our service offerings and availability are listed on our booking page, which you can find on our website, then click the Booking link, and access the specific, desired Booking page. You can also view our service descriptions, pricing, and location information on the booking page, if the Booking service includes the details.

To book a meeting with us, follow these steps:

– Go to our booking page and select the service you want from the drop-down menu.

– Select a date and time slot that suits your schedule. You can use the arrows to navigate to different weeks or months.

– Enter your name, email address, phone number, and any additional details or questions you have for us in the booking form.

– Review your booking details and select Book. You will receive a confirmation email with a calendar invite and a link to join the meeting online.

– If you need to reschedule or cancel your booking, you can do so from the confirmation email or by contacting us directly.

We are available for bookings from Monday to Friday, 9:00 AM to 5:00 PM (Eastern Time). We are closed on weekends and public holidays. Payment Terms

Microsoft Bookings is a Microsoft 365 app that allows you to book a meeting with us and pay for our services online if the Booking Service includes a payment. You can use Bookings to choose the service, time, and staff member that you prefer, and complete the payment process securely and conveniently.

Our payment methods and policies are listed on our booking page, which you can access from our website or by clicking the Booking page link. You can also view our service descriptions, pricing, and cancellation policy on the booking page.

To book and pay for a meeting with us, follow these steps:

– Go to our booking page and select the service you want from the drop-down menu.

– Select a date and time slot that suits your schedule. You can use the arrows to navigate to different weeks or months.

– Enter your name, email address, phone number, and any additional details or questions you have for us in the booking form.

– Review your booking details and select Pay. You will be redirected to a secure payment gateway where you can enter your credit card or PayPal information.

– Confirm your payment and receive a confirmation email with a calendar invite and a link to join the meeting online.

– If you need to reschedule or cancel your booking, you can do so from the confirmation email or by contacting us directly. Please note that we have a 24-hour cancellation policy, and you will be charged a 10% cancellation fee if you cancel within 24 hours of your scheduled meeting.

We accept payments via credit card or electronic bank transfer. We do not accept cash, checks, or other forms of payment. All payments are processed in US dollars and are subject to applicable taxes and fees. We use a secure payment gateway that encrypts your payment information and protects your privacy. We do not store or share your payment information with any third parties.

Code of Conduct

– Be respectful: Treat us and other guests with courtesy and professionalism. Do not use abusive, offensive, or discriminatory language or behavior. Do not harass, threaten, or intimidate us or other guests. Do not share or solicit any personal or sensitive information that is not relevant to the service or meeting.

– Be honest: Provide accurate and truthful information when you book a meeting with us. Do not misrepresent yourself or your purpose. Do not use our Bookings for any illegal, fraudulent, or malicious activities. Do not attempt to access, modify, or damage our Bookings or any other systems or data.

– Be responsible: Honor your booking commitments and show up on time for your scheduled meeting. If you need to reschedule or cancel your booking, do so as soon as possible and notify us accordingly. Do not abuse or misuse our Bookings or our Services. Do not interfere with or disrupt our Bookings or our operations.

We reserve the right to refuse, cancel, or terminate any booking or service that violates our Code of Conduct. We also reserve the right to report any violation to the appropriate authorities. Intellectual Property Rights

We respect your intellectual property rights and expect you to respect ours. Our Intellectual Property Rights document outlines the ownership and usage of the intellectual property involved in our Bookings and our Services.

– Our Bookings and our Services are protected by intellectual property laws, including but not limited to trademarks, copyrights, patents, trade secrets, and design rights.

– We own and retain all rights, title, and interest in and to our Bookings and our Services, including any modifications, enhancements, improvements, or derivatives thereof.

– We grant you a limited, non-exclusive, non-transferable, revocable license to use our Bookings and our Services for your personal or business purposes, subject to the terms and conditions, privacy policy, and our terms of service.

– You do not acquire any ownership or other rights in or to our Bookings or our Services, except for the license granted to you.

– You agree not to copy, reproduce, distribute, modify, reverse engineer, decompile, disassemble, or create derivative works of our Bookings or our Services, or any part thereof, without our prior written consent.

– You agree not to use our Bookings or our Services for any unlawful, infringing, or unauthorized purposes, or in any manner that violates our rights or the rights of any third party.

– You agree to respect the intellectual property rights of other guests and third parties who may use our Bookings or our Services, and not to infringe, misappropriate, or violate their rights.

– You agree to notify us promptly of any actual or suspected infringement, misappropriation, or violation of our or any third party’s intellectual property rights involving our Bookings or our Services, and to cooperate with us in resolving such matters.

– You agree to indemnify, defend, and hold us harmless from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorney fees) arising out of or relating to your use of our Bookings or our Services in violation of this document or our Terms of Service.

We reserve the right to terminate your license and access to our Bookings and our Services if you breach this document or our Terms of Service. We also reserve the right to take any legal action necessary to protect our intellectual property rights and interests. Disclaimer of Warranties

We provide our Bookings and our Services on an “as is” and “as available” basis, without any warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

– The accuracy, completeness, reliability, timeliness, security, or availability of our Bookings or our Services, or any information, content, or materials provided or displayed therein.

– The performance, quality, or suitability of our Bookings or our Services, or any results or outcomes obtained or expected therefrom.

– The compatibility, interoperability, or integration of our Bookings or our Services with any other software, hardware, systems, or devices.

– The error-free, uninterrupted, or defect-free operation of our Bookings or our Services, or the correction of any errors, interruptions, or defects therein.

– The absence of any viruses, malware, or other harmful components in our Bookings or our Services, or the prevention or removal of any such components.

– The non-infringement, non-violation, or non-misappropriation of any intellectual property rights or other rights of any third party by our Bookings or our Services, or any information, content, or materials provided or displayed therein.

You acknowledge and agree that your use of our Bookings and our Services is at your own risk and discretion, and that you are solely responsible for any damages, losses, liabilities, costs, or expenses that may arise from or relate to your use of our Bookings or our Services. You waive any and all claims against us and our affiliates, agents, employees, or contractors arising from or relating to your use of our Bookings or our Services, or any information, content, or materials provided or displayed therein.

We do not guarantee or warrant that our Bookings or our Services will meet your requirements or expectations, or that they will achieve any particular results or outcomes. We do not endorse or recommend any of our services or any information, content, or materials provided or displayed therein. We do not assume any liability or responsibility for any decisions or actions that you may make or take based on our Bookings or our Services, or any information, content, or materials provided or displayed therein.

Some jurisdictions do not allow the exclusion or limitation of certain warranties, so some or all of the above exclusions or limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by law. Limitation of Liability

To the fullest extent permitted by law, we and our affiliates, agents, employees, or contractors will not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, losses, liabilities, costs, or expenses (including reasonable attorney fees) arising from or relating to:

– Your use of or inability to use our Bookings or our Services, or any information, content, or materials provided or displayed therein.

– Any errors, interruptions, defects, or malfunctions in our Bookings or our Services, or any delays, failures, or unavailability thereof.

– Any viruses, malware, or other harmful components in our Bookings or our Services, or any damages, losses, or theft of your data, devices, or systems caused by or resulting from such components.

– Any infringement, violation, or misappropriation of any intellectual property rights or other rights of any third party by our Bookings or our Services, or any information, content, or materials provided or displayed therein.

– Any disputes, claims, or actions between you and us or any third party arising from or relating to your use of our Bookings or our Services, or any information, content, or materials provided or displayed therein.

Our total liability for any and all claims arising from or relating to your use of our Bookings or our Services, or any information, content, or materials provided or displayed therein, will not exceed the amount paid by you to us for the service that gave rise to the claim, or $100, whichever is less.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some or all of the above exclusions or limitations may not apply to you. In such cases, our liability will be limited to the minimum extent required by law. Indemnification

You agree to indemnify, defend, and hold harmless us and our affiliates, agents, employees, or contractors from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorney fees) arising from or relating to:

– Your use of or inability to use our Bookings or our Services, or any information, content, or materials provided or displayed therein.

– Any errors, interruptions, defects, or malfunctions in our Bookings or our Services, or any delays, failures, or unavailability thereof.

– Any viruses, malware, or other harmful components in our Bookings or our Services, or any damages, losses, or theft of your data, devices, or systems caused by or resulting from such components.

– Any infringement, violation, or misappropriation of any intellectual property rights or other rights of any third party by our Bookings or our Services, or any information, content, or materials provided or displayed therein.

– Any disputes, claims, or actions between you and us or any third party arising from or relating to your use of our Bookings or our Services, or any information, content, or materials provided or displayed therein.

You agree to cooperate with us in the defense of any such claims and to promptly notify us of any such claims. We reserve the right to assume the exclusive control and defense of any such claims at your expense.

Dispute Resolution

These Terms and Conditions govern your use of our Microsoft Bookings and our Services as well as constitutes a binding agreement between you and us. By using our Bookings or our Services, you agree to these Terms and Conditions and our Privacy Policy. If you do not agree, you may not use our Bookings or our Services.

We are committed to resolving any disputes that may arise between you and us in a fair and efficient manner. If you have any questions, concerns, or complaints about our Bookings or our services, please contact us at contact@jadexstrategic.com or call us at +1 (833) 568-3925. We will try to address your issue and resolve it to your satisfaction as soon as possible.

If we are unable to resolve your issue informally, you agree to follow the dispute resolution process described below:

– Notice of Dispute: You agree to send us a written notice of dispute (Notice) before initiating any legal action against us. The Notice must include your name, contact information, a brief description of your issue, and the relief you seek. You can send the Notice by email to contact@jadexstrategic.com or by mail. We will also send you a Notice if we have a dispute with you. We will try to resolve the dispute within 60 days after receiving or sending the Notice.

– Arbitration: If we are unable to resolve the dispute within 60 days after receiving or sending the Notice, you agree to submit the dispute to binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted by a single arbitrator, who will be selected by mutual agreement of the parties or by the AAA. The arbitration will take place in the county where we live, Ottawa County Michigan, or in King County, Washington, USA, at our choice. The arbitration will be conducted in English, unless you and we agree otherwise. The arbitrator will decide the dispute in accordance with the laws of the state of Michigan, USA, without regard to its conflict of laws principles. The arbitrator will have the authority to award any relief that would be available in a court of law, but not more than what you or we have requested in the Notice. The arbitrator’s decision will be final and binding and may be enforced in any court of competent jurisdiction. You and we agree to waive any right to a jury trial or a class action, and to participate in the arbitration only on an individual basis. You and we agree that any claim or dispute arising from or relating to our Bookings, or our Services must be brought within one year after the cause of action accrues, or it will be permanently barred.

– Small Claims Court: As an alternative to arbitration, you may bring a claim in our local small claims court, if the claim meets the eligibility requirements of the court. You and we agree that any claim brought in small claims court will be subject to the same waiver of jury trial and class action as in arbitration.

– Exceptions: You and we agree that the following disputes are not subject to the above provisions concerning informal dispute resolution, arbitration, and small claims court: (a) any dispute that involves the infringement, violation, or misappropriation of any intellectual property rights or other rights of any third party; (b) any dispute that seeks injunctive or other equitable relief for the alleged unlawful use of confidential or proprietary information; (c) any dispute that falls within the jurisdiction of a state or federal agency that is authorized to provide its own dispute resolution process; and (d) any dispute that is pending in court when these Terms and Conditions become effective.

Governing Law and Jurisdiction

These Terms and Conditions govern your use of our Bookings and our Services as well as constitutes a binding agreement between you and us. By using our Bookings or our Services, you agree to these Terms and Conditions and our Privacy Policy.

You and we agree that these Terms and Conditions and any dispute or claim arising from or relating to your use of our Bookings or our Services will be governed by and construed in accordance with the laws of the state of Michigan, USA, without regard to its conflict of laws principles.

You and we agree that any legal action or proceeding arising from or relating to your use of our Bookings or our Services will be brought exclusively in the federal or state courts located in Ottawa County, Michigan, USA. You and we consent to the personal and exclusive jurisdiction and venue of these courts.

You and we agree that the United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms and Conditions or your use of our Bookings or our Services.

If you live in (or your principal place of business is in) the United States, please read the Binding Arbitration and Class Action Waiver in Section 15 of the Microsoft Services Agreement ((https://learn.microsoft.com/en-us/microsoft-365/bookings/bookings-faq?view=o365-worldwide)). It affects how disputes are resolved.

This Governing Law and Jurisdiction document is part of the Terms and Conditions, which you must accept and comply with when you use our Bookings or our Services. Miscellaneous

Microsoft Bookings is a Microsoft 365 app that allows you to book a meeting with us and access our services online. You can use Bookings to schedule a meeting with us and join the meeting via Teams or Skype. You can also reschedule or cancel your booking at any time.

These Terms and Conditions govern your use of our Bookings and our Services as well as constitute a binding agreement between you and us. By using our Bookings or our Services, you agree to these Terms and Conditions and our Privacy Policy.

The following miscellaneous provisions apply to these Terms and Conditions:

– Entire Agreement: These Terms and Conditions, together with our Privacy Policy and any other documents or policies referenced herein, constitute the entire agreement between you and us regarding your use of our Bookings and our Services, and supersede any prior or contemporaneous agreements, understandings, or representations, whether written or oral, between you and us on the same subject matter.

– Severability: If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect, and the invalid, illegal, or unenforceable provision will be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable.

– Waiver: No failure or delay by us in exercising any right, power, or remedy under these Terms and Conditions will constitute a waiver of such right, power, or remedy, nor will any single or partial exercise of such right, power, or remedy preclude any further exercise of the same or any other right, power, or remedy. Any waiver of any provision of these Terms and Conditions must be in writing and signed by Jadex Strategic Group to be effective.

– Assignment: You may not assign, transfer, or delegate any of your rights or obligations under these Terms and Conditions without our prior written consent. We may assign, transfer, or delegate any of our rights or obligations under these Terms and Conditions without your consent, and without notice or liability to you.

– Notices: Any notices or communications required or permitted under these Terms and Conditions must be in writing and delivered by email, mail, or personal delivery to the addresses specified by the parties. Notices will be deemed received when they are sent, if by email; when they are delivered, if by mail or personal delivery; or when they are confirmed as received, if by any other method.

– Force Majeure: We will not be liable for any failure or delay in performing our obligations under these Terms and Conditions due to any cause beyond our reasonable control, such as acts of God, war, terrorism, fire, flood, earthquake, strike, lockout, labor dispute, pandemic, epidemic, civil unrest, sabotage, embargo, power outage, network failure, or governmental action.

– Feedback: We welcome and appreciate your feedback, suggestions, comments, or ideas regarding our Bookings or our Services.
